The Opportunity
The Senior Manager, Tax/Preferred Equity will be a core member of Crux’s Structuring team, reporting to leadership within the Structuring team. The team delivers capital solutions across tax equity, preferred equity, debt, and advisory services to sponsors, developers, and investors. This role sits on the tax/preferred equity side of the team and is a hands-on execution role for an experienced structuring professional with a strong working knowledge of these structures, covering project-level and portfolio-level transactions in renewable energy and energy transition infrastructure. The Senior Manager will be responsible for leading screening and underwriting, building, maintaining, and stress-testing tax/preferred equity models, preparing investment analyses for internal and external stakeholders, and driving transaction execution from intake to closing, while helping to guide and develop Associates on the team.
This position is ideal for candidates with at least 4 years of relevant experience in structured finance, renewable energy, infrastructure investing, or a closely related field, particularly those with meaningful exposure to structuring partnership flip, hybrid, and preferred equity transactions, including building the underlying models. Candidates should be comfortable leading transaction workstreams, working across teams, adopting new tools and AI-enabled workflows, and engaging directly with clients.
What you'll do
- Build, maintain, and audit complex financial models for tax/hybrid and preferred equity transactions, with a focus on partnership flip, T-flip, and hybrid structures (experience with other parts of the capital stack a plus).
- Lead the screening and underwriting of new opportunities, including initial reviews and pre-pricing screens, and develop pricing and structuring recommendations.
- Lead the preparation of investment materials for Investment Committee, including transaction economics, sensitivities, and risk analyses.
- Collaborate with senior members of the Structuring team on transaction structuring, execution, and negotiations, driving transactions from intake to closing.
- Analyze sponsor financials, project contracts, and diligence materials to identify risks and value drivers.
- Coordinate diligence across commercial, technical, legal, tax, and insurance workstreams (independent engineer, tax opinions, appraisals, tax insurance), and review transaction documents including term sheets, LLC agreements, equity capital contribution agreements, and closing checklists.
- Leverage technology and AI-enabled tools to increase accuracy and efficiency in modeling, diligence, and reporting.
- Contribute to process improvements and template standardization (models, IC memos, term sheets) across the Structuring team.
- Engage directly with developers, investors, and advisors on active transactions, taking increasing ownership of counterparty relationships.
- Review the work of and help develop Associates on the Structuring team.
- Support platform initiatives to scale tax/preferred equity workflows and develop new tech-enabled products and solutions for financing processes.
- Support portfolio management and reporting as needed, including monitoring project performance against underwriting.
