Senior Director, Associate General Counsel - GitLab

About the Role

As Senior Director, Associate General Counsel, you will own the vision, strategy, and execution of GitLab's corporate and compliance legal function. Reporting to the Chief Legal Officer, you will serve as a key member of the Legal leadership team and a trusted executive partner to the CFO, People organization, and E-Group.

This role is for a seasoned legal leader who has operated inside a public company and is ready to shape the corporate legal function for a company operating at the intersection of DevSecOps, AI, and enterprise SaaS.

What You'll Do

• Strategy & Leadership: Define and execute the long-term strategy for the corporate and compliance legal function, aligning priorities with public company obligations and growth.
• Executive Partnership: Advise the CFO, People leadership, and E-Group on corporate governance, securities, equity strategy, executive compensation, and M&A.
• Team Building: Build and lead a high-performing team of corporate attorneys and paralegals in an async-first environment.
• Governance & Compliance: Own SEC reporting and disclosure obligations; maintain policies for governance, equity plan administration, and M&A transactions.
• AI Integration: Champion AI-enabled legal workflows to drive efficiency in governance, disclosure, and contract review.
• Risk Management: Monitor changes in securities law, assess legal risk, and propose creative solutions that account for GitLab’s culture and business priorities.

What You'll Bring

• 8+ years of combined law firm and in-house legal experience, with substantial tenure at a multinational, publicly traded technology company.
• J.D. or U.S. law degree equivalent with active bar admission.
• Strong working knowledge of the '33 Act and '34 Act, with demonstrated experience managing SEC reporting.
• Proven success partnering across business units (Finance, Stock Admin, People, etc.) to resolve complex issues.
• Demonstrated fluency in applying AI tools to legal workflows.
• Ability to lead effectively in a fully remote, asynchronous environment.
